01 — Agreement to These Terms

These Terms and Conditions ("Terms") govern your use of the Beyrsol website, communications, and services. By using our website, submitting a form, opting in to text messages, or purchasing services, you agree to these Terms. If you do not agree, please do not use our website or services.

Beyrsol is a brand of Beyr Group LLC, a Delaware limited liability company ("Beyrsol," "we," "us," or "our"), located at 395 Sawdust Rd 3086, The Woodlands, TX 77380, United States.

These Terms work together with our Privacy Policy, which explains how we collect and use personal information. If you sign a separate proposal, statement of work, or services agreement with us, that document controls where it conflicts with these Terms.

02 — SMS Messaging Terms

By opting in, you agree to receive text messages from Beyrsol, and you can stop at any time by replying STOP.

• Program name and description. Beyrsol Sales and Customer Messaging. Our sales and account team sends text messages about your inquiries, meeting and appointment scheduling, reminders, follow-ups on proposals and services you discussed with us, customer support, and, if you opted in, occasional updates about our services.
• How you opt in. You opt in by checking the unchecked SMS consent box on a form on beyrsol.com, by texting one of our business numbers first, or by giving verbal or written consent to our team. Consent is not a condition of any purchase.
• Message frequency. Message frequency varies based on your interactions with us, up to [INSERT, e.g. 10] messages per month.
• Costs. Message and data rates may apply. Check your mobile plan for details.
• Opting out. Reply STOP, END, CANCEL, UNSUBSCRIBE, QUIT, or STOPALL to any message to cancel. You will receive one confirmation message, and then no further messages unless you opt in again. If you want to rejoin, text START or sign up again on our website.
• Help. Reply HELP to any message, email inquiries@beyrsol.com, or call (949) 357-2129.
• Carrier disclaimer. Carriers are not liable for delayed or undelivered messages.
• Eligibility. You must be at least 18 years old and the account holder of, or authorized to use, the mobile number you provide. If you change or give up your number, please reply STOP from that number or tell us so we can remove it.
• Privacy. We handle your information as described in our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

03 — Services and Client Responsibilities

The scope, deliverables, timeline, and price of any engagement are set out in a written proposal, statement of work, or order (each a "Proposal") that you accept.

Proposals. A Proposal becomes binding when you sign it, accept it electronically, or pay the first invoice. Work outside the agreed scope is a change request and may require a revised timeline and fee. Unless stated otherwise, Proposals are valid for 30 days.

Your responsibilities. To keep a project on schedule, you agree to:

• Provide accurate information, content, approvals, and system access when requested
• Designate a point of contact who can make decisions
• Review and respond to deliverables within 5 business days, or the deliverable is deemed accepted
• Ensure that any content, data, or materials you provide do not infringe anyone's rights or violate any law
• Obtain any consents required for data you ask us to process on your behalf, including contact lists and marketing consent

Delays caused by missing input, approvals, or access may shift delivery dates and are not a breach by Beyrsol.

Third-party services. Some services rely on third-party platforms, such as hosting, software, advertising, or communication providers. Their terms and fees apply, and we are not responsible for their outages, policy changes, or decisions.

04 — Fees, Payment, and Refunds

You agree to pay the fees in your Proposal, in U.S. dollars, by the due date on each invoice.

• Payment terms. Unless your Proposal says otherwise, invoices are due within 15 days. Project work may require a deposit before it begins.
• Recurring services. Retainers and subscriptions are billed in advance each period and renew automatically until cancelled under Section 7.
• Late payment. Overdue balances may accrue interest at 1.5% per month or the maximum rate allowed by law, whichever is lower. We may pause work until the account is current.
• Expenses and taxes. Pre-approved third-party costs (such as software licenses, ad spend, or stock assets) are billed separately. Fees exclude taxes, which you are responsible for.
• Refunds. Deposits and fees for work already performed are non-refundable. Prepaid fees for services not yet started may be refunded at our discretion, less costs already incurred.
• Disputes. Notify us in writing within 15 days of an invoice if you dispute any charge. Undisputed amounts remain due on time.

05 — Intellectual Property and Confidentiality

Once you have paid in full, you own the final deliverables created specifically for you, and we keep ownership of our pre-existing tools and know-how.

Your materials. You keep all rights to the content, data, logos, and materials you provide. You grant us a limited license to use them only to perform the services.

Deliverables. On full payment, we assign to you our rights in the final deliverables described in your Proposal. Until then, we grant you a limited license to review them.

Our materials. We keep all rights to our pre-existing code, templates, frameworks, processes, and general know-how ("Beyrsol Materials"). Where Beyrsol Materials are built into a deliverable, you receive a non-exclusive, perpetual license to use them as part of that deliverable. Third-party and open-source components remain subject to their own licenses.

Portfolio. Unless you tell us otherwise in writing, we may list your company name and logo and describe the work in our portfolio, without disclosing confidential information.

Confidentiality. Each party will protect the other's non-public business, technical, and financial information with reasonable care, use it only for the engagement, and not disclose it except to personnel and contractors who need it and are bound by similar obligations, or as required by law. These obligations last 3 years after the engagement ends, and indefinitely for trade secrets.

06 — Website Use, Warranties, and Liability

Acceptable use. When using our website or communications, you agree not to:

• Break any law or infringe anyone's rights
• Submit false information or someone else's phone number or email without permission
• Attempt to gain unauthorized access to our systems, or introduce malware
• Scrape, copy, or resell website content without our written permission
• Send unlawful, harassing, or abusive messages to our team, including by text

Our warranty. We will perform services in a professional and workmanlike manner consistent with industry standards. If a deliverable does not materially match your Proposal, tell us within 30 days of delivery and we will correct it at no charge. This is your exclusive remedy for a warranty claim.

Disclaimer. Except as stated above, our website and services are provided "as is" and "as available." We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific business results, such as revenue, search rankings, leads, or ad performance. Outputs from AI tools may contain errors and should be reviewed before use.

Limitation of liability. To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Beyrsol's total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose. These limits do not apply to your payment obligations or to either party's fraud or willful misconduct.

Indemnification. You will defend and indemnify Beyrsol against third-party claims arising from materials or data you provide, your use of the deliverables, or your breach of these Terms. We will defend and indemnify you against third-party claims that deliverables we created, excluding your materials and third-party components, infringe a U.S. intellectual property right.

07 — Term, Termination, and Disputes

Termination. Either party may end an ongoing or recurring engagement with 30 days' written notice, unless your Proposal sets a minimum term. Either party may terminate immediately if the other materially breaches these Terms and does not cure the breach within 10 days of written notice. On termination, you pay for work performed and costs incurred through the termination date. Sections on payment, intellectual property, confidentiality, liability, indemnification, and disputes survive termination.

Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules.

Informal resolution first. Before filing any claim, the party raising it will contact the other in writing and both will try in good faith to resolve it within 30 days.

Arbitration. If the dispute is not resolved, it will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Montgomery County, Texas. Either party may bring an individual claim in small claims court, or seek injunctive relief in court to protect intellectual property or confidential information.

Class action waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, or representative proceeding.

08 — General Terms and Contact

• Independent contractors. Beyrsol and its clients are independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
• Subcontractors. We may use qualified employees and subcontractors, including team members outside the United States, and we remain responsible for their work.
• Non-solicitation. During an engagement and for 12 months after, neither party will directly solicit for employment the other's personnel who worked on the engagement, without written consent.
• Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, such as natural disasters, outages of third-party platforms, or government action.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Changes. We may update these Terms by posting a new version on beyrsol.com with a new effective date. Changes do not affect a signed Proposal during its current term.
• Entire agreement and severability. These Terms, the Privacy Policy, and any Proposal are the entire agreement on their subject. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
• Notices. Legal notices must be in writing and sent by email with confirmation of receipt or by mail to the addresses below.
